1. Service description

FaxSeal provides an internet-based fax transmission service ("Service"). You may send faxes on a pay-per-transmission basis or by purchasing prepaid credits. No subscription is required. Transmissions are routed through third-party telecommunications infrastructure (currently SignalWire Inc.). Transmissions are supported to US, Canada, and international destinations worldwide. International destinations are billed at a higher rate reflecting carrier costs.

2. NOT for critical or time-sensitive filings

THE SERVICE IS NOT INTENDED FOR USE AS THE SOLE OR PRIMARY METHOD OF SUBMITTING TIME-SENSITIVE LEGAL FILINGS, COURT DOCUMENTS, REGULATORY SUBMISSIONS, OR ANY DOCUMENT WHERE FAILURE TO DELIVER BY A SPECIFIC DEADLINE WOULD CAUSE LEGAL, FINANCIAL, OR OTHER HARM. Internet-based fax transmission is subject to factors outside our control, including recipient-side availability, line quality, and third-party infrastructure. YOU ASSUME FULL RESPONSIBILITY FOR VERIFYING DELIVERY AND MAINTAINING INDEPENDENT BACKUP METHODS FOR ANY CRITICAL FILING. FaxSeal accepts no responsibility for missed deadlines, adverse legal outcomes, or consequential damages of any kind arising from use of the Service for legal filings or any other time-sensitive purpose.

3. Beta service notice

The Service is currently in public beta. Features, pricing, limits, and availability may change at any time without notice. Beta software may contain bugs or experience downtime. By using the Service during beta, you acknowledge and accept the increased risk of service interruptions, delivery failures, and changes to functionality. Credits purchased during beta are real and will not be forfeited, but the Service itself carries no uptime or reliability guarantee.

4. Acceptable use

You may only use FaxSeal to transmit lawful documents to recipients who have consented to receive fax communications from you. Prohibited uses include: sending unsolicited commercial faxes (prohibited under the Telephone Consumer Protection Act and analogous laws); transmitting illegal, defamatory, obscene, or fraudulent content; infringing any third-party intellectual property rights; impersonating any person or entity; or attempting to interfere with, circumvent, or abuse the Service. Violations may result in immediate termination of access and reporting to relevant authorities.

5. Payment and refunds

All payments are processed by Stripe and are final. Pay-per-fax charges are captured only upon confirmed delivery; failed deliveries are not charged. Prepaid credits do not expire and are non-refundable once issued except where required by applicable law. We reserve the right to correct billing errors. Fax number subscriptions (where available) are billed monthly and may be cancelled at any time; cancellation takes effect at the end of the current billing period.

6. Delivery; no guarantee

We make commercially reasonable efforts to transmit faxes promptly and to provide accurate delivery status. Transmission is routed through third-party telecommunications infrastructure (SignalWire Inc.) and depends on factors outside our control, including recipient line availability, carrier routing, and recipient equipment. We do not warrant or guarantee: (a) that any fax will be delivered successfully; (b) delivery within any particular timeframe; or (c) uninterrupted or error-free operation of the Service. Where delivery is confirmed by the carrier, FaxSeal generates a Certified Delivery Receipt (see Section 7). Where delivery fails, the transaction is not charged and prepaid credits are restored.

7. Certified delivery receipt — what it proves and what it does not

Upon carrier-confirmed delivery, FaxSeal generates a Certified Delivery Receipt containing: (a) the SHA-256 cryptographic hash of the exact document transmitted; (b) the destination telephone number dialed; (c) timestamps of transmission initiation and carrier-confirmed delivery; and (d) a permanent verification URL at https://faxseal.com/verify/[jobId]. The SHA-256 hash creates a tamper-evident link between the receipt and the transmitted document — if the document is unchanged, its hash will match the value in the receipt, verifiable with any standard tool. This receipt accurately represents what FaxSeal's system transmitted and the delivery status returned by the carrier. What the certified receipt does NOT establish: (a) that the recipient read, received in hand, or acted on the document; (b) valid legal service of process under any jurisdiction's procedural rules — service of process is governed by court rules that may require additional steps beyond fax confirmation; (c) compliance with any court's specific filing confirmation requirements; (d) delivery independent of the carrier-reported status. The certified receipt is a contemporaneous record of transmission intended to support — not replace — other evidence of delivery.

8. Document confidentiality and privilege

FaxSeal does not read, review, index, sell, or use the contents of documents you transmit for any purpose other than completing your transmission and generating your delivery receipt. Documents are stored in encrypted cloud storage solely for the duration needed to complete transmission and retain your receipt record. We do not analyze document content with AI or machine learning, except where you explicitly enable optional OCR features for faxes received on your own dedicated inbox. Attorney-client privilege notice: Transmitting documents through any third-party internet service, including FaxSeal, may affect the privileged status of those communications depending on jurisdiction and applicable privilege law. FaxSeal does not provide legal advice on privilege matters. Attorneys should consult applicable bar rules and privilege doctrine before transmitting privileged materials through any third-party service. FaxSeal does not waive or assert privilege on your behalf.

9. Legal use — service of process and court filings

FaxSeal may be used to transmit legal documents including contracts, correspondence, and court-related materials. However: Service of process: A FaxSeal certified receipt does not constitute proof of valid service of process in any jurisdiction. Rules governing service of process vary by court and jurisdiction and may require specific procedures, additional documentation, or methods beyond fax confirmation. You are solely responsible for ensuring that your method of service complies with all applicable court rules. Court deadlines: FaxSeal is not responsible for missed court deadlines or filing cutoffs. Internet-based fax transmission is subject to carrier delays outside our control. For time-sensitive filings, maintain independent backup methods and confirm delivery before any deadline expires. Jurisdiction-specific fax rules: Some courts do not accept faxed filings or impose specific technical requirements for fax submissions. You are responsible for confirming that fax is an accepted method in your jurisdiction and for any specific proceeding.

10. Document responsibility and indemnification

You are solely responsible for all documents you transmit through the Service. FaxSeal does not review, edit, or take responsibility for the content of transmitted documents. You represent and warrant that: (a) you have the legal right to transmit each document; (b) the document's contents comply with all applicable laws; and (c) the recipient is lawfully entitled to receive the document. You agree to indemnify, defend, and hold harmless FaxSeal, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (i) your use of the Service; (ii) your violation of these Terms; (iii) the content of documents you transmit; or (iv) your violation of any third-party rights.

11. HIPAA notice

FaxSeal is not a HIPAA-covered entity or Business Associate and does not execute Business Associate Agreements (BAAs). The Service is not designed or certified for transmission of Protected Health Information (PHI) as defined under the Health Insurance Portability and Accountability Act. If you transmit PHI through the Service, you do so entirely at your own risk and in potential violation of HIPAA. We expressly disclaim any liability for HIPAA-related violations, penalties, or breaches. Healthcare providers requiring HIPAA-compliant fax transmission must use a certified HIPAA-compliant service.

12. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, FAXSEAL DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE FREE FROM ERRORS OR SECURITY VULNERABILITIES.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) IN NO EVENT WILL FAXSEAL OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, MISSED DEADLINES, ADVERSE LEGAL OR REGULATORY OUTCOMES, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; (b) OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (i) THE TOTAL AMOUNT YOU PAID TO FAXSEAL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (ii) TEN US DOLLARS ($10). THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

14. Dispute resolution and arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS. Any dispute, claim, or controversy arising from or relating to these Terms or the Service ("Dispute") shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm. The arbitration shall be conducted in English, with the seat of arbitration in Delaware, USA. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. You agree that any Dispute must be brought in your individual capacity only — not as a plaintiff or class member in any class, collective, or representative action. CLASS ACTION WAIVER: TO THE EXTENT PERMITTED BY LAW, YOU AND FAXSEAL EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN CLASS OR COLLECTIVE PROCEEDINGS. If this arbitration clause is found unenforceable, any litigation shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

15. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16. Force majeure

FaxSeal is not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, internet or telecommunications outages, third-party infrastructure failures, government actions, or pandemic.

17. Changes to terms

We may update these Terms at any time. Material changes will be indicated by an updated "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

18. Severability and entire agreement

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and FaxSeal regarding the Service and supersede all prior agreements and understandings. No waiver of any provision constitutes a waiver of any other provision or the same provision on any other occasion.

19. VA facility directory — data source and disclaimer

FaxSeal displays VA Medical Center and VA health facility fax numbers sourced from the US Department of Veterans Affairs Facilities API, a publicly available government data source. This information is provided as a convenience to veterans and caregivers. FaxSeal is not affiliated with, endorsed by, or operated by the US Department of Veterans Affairs or any other government agency. Facility fax numbers may change; always verify contact information at va.gov before transmitting sensitive documents. FaxSeal makes no warranty as to the accuracy or currency of VA facility data.
